AGREEMENT

Corporation or Limited Liability Company
For Profit

(NOTE: This Agreement is for profit corporations and LLCs only. Please contact me if you wish to incorporate a non profit organization.)

The fee for my services is $150.00 ($300.00 in California and Texas). This fee includes the following:

Please print (click anywhere on this page to activate, then print) and sign this Agreement and return it to me at the address below along with a non-refundable deposit of $50.00 ($100.00 in CA & TX). A copy of this fully executed Agreement will be returned to you with your SmallBusinessCreation.com Worksheet. The balance of $100.00 ($200.00 in CA & TX) must be included when you return your completed Worksheet to me for the incorporation of your small business or limited liability company. Additional charges may apply for updates, amendments, or replacement of any of the forms or minute book.

This Agreement is entered into this ________ day of _______________________, 20_________ between Cheryl L. Smeed ("Owner"), and _________________________________________________________________________________, ("Customer") under the following terms:

Customer agrees to sign and return this Agreement to Owner with a non-refundable deposit of $50.00 ($100.00 in CA & TX). Owner agrees to provide Customer with the SmallBusinessCreation.com Worksheet and a copy of this fully executed Agreement.

Customer agrees to provide Owner with a completed Worksheet along with the balance of $100.00 ($200.00 in CA & TX). If full payment is not included, the work will not be completed until full payment is received. Customer agrees to hold Owner harmless in the event of any errors or omissions for which Customer has failed to provide Owner with proper or complete information.

The Owner agrees to prepare the Incorporation or LLC documents limited only as to the information the Customer has provided, by entering the information in the proper manner online or typewritten for submission by US mail according to state and local requirements. If the filing must be completed by mail, the Owner agrees to provide all documentation necessary for the Customer to submit the filing by mail.

Owner further agrees to deliver the minute book to the Customer by USPS Priority Mail within five (5) business days of receipt of the completed Worksheet from the Customer unless parties have agreed otherwise, or there are extenuating circumstances which prevent Owner from completing the forms (i.e. waiting for additional information from the Customer; technical problems; natural disasters, etc.). Electronic filings may be completed the same day, and the minute book will be mailed accordingly by USPS Priority Mail.

Customer understands that fees paid to Cheryl L. Smeed do not include any filing fees, which vary from state to state. Customer is responsible for the payment of all filing fees. Filings will be rejected by the respective states if all filing fees are not included with the filing. Electronic filings may be completed electronically if Customer provides credit or debit card information.

All information disclosed by Customer to the Owner shall be held in strict confidence. No information will be provided by Owner to any entity without Customer's written authorization, unless such disclosure is required by law.

Customer understands that Cheryl L. Smeed is not an attorney and cannot provide legal advice or legal information and may not advise Customer as to the difference between a corporation or LLC, nor offer advice as to which would best serve the customer.

Customer accepts full responsibility for all information provided and any decisions made on Customer's part. Customer further understands that should any problems arise with Customer's case, it may be necessary to retain an attorney at Customer's expense. This Agreement shall be governed by the laws of the State of Florida.

This Agreement shall become effective when it has been signed by all parties. A fully executed copy will be returned to the Customer with the Worksheet.

Acceptable Payment Methods
All payments to Cheryl L. Smeed may be paid by Visa, MasterCard, Discover, AMEX, PayPal, check, or USPS money order. Personal or business checks and money orders must clear before work begins.
